These Terms of Service ("Terms") govern your access to and use of services provided by CloudKii Systems through CloudKii. By creating an account, purchasing a subscription or using the service, you agree to these Terms.
Eligibility and accounts
You must provide accurate account information, keep your credentials secure and be responsible for activity under your account. You may not share access in a way that bypasses plan or account limits.
Memberships and subscriptions
Paid memberships renew according to the billing interval shown at checkout until canceled. Prices, included applications, limits and benefits may vary by plan. Promotional or founding pricing may have separate eligibility requirements displayed at checkout.
Reseller program
Reseller access allows eligible members to offer approved software subject to product-specific limits, minimum pricing, fees and other rules shown in CloudKii. CloudKii may suspend provisioning or reseller access for unpaid balances, abuse, fraud, chargeback risk, violation of applicable law or violation of these Terms.
Stripe Connect
Reseller billing may use Stripe Connect. A reseller may be required to complete Stripe onboarding and comply with Stripe's terms. Payment status may be used to automatically provision, suspend, reactivate or cancel customer software access.
Software and APIs
Applications may have separate usage limits, technical requirements or third-party dependencies. You may not attempt to bypass account limits, rate limits, security controls, licensing restrictions or payment requirements.
Done-for-you work
Custom build requests are separate projects unless expressly included in your membership. Scope, delivery terms, fees, ownership and support obligations may be documented in a separate proposal or agreement.
Acceptable use
You must comply with our Acceptable Use Policy and applicable law. Prohibited activity may result in suspension or termination.
Fees and taxes
You are responsible for charges presented at checkout and for taxes or fees applicable to your purchase or business activities. Resellers are responsible for understanding their own tax, licensing and regulatory obligations.
No earnings guarantee
CloudKii does not guarantee income, leads, customers, profit or business success. Your results depend on many factors outside our control. See the Earnings Disclaimer.
Intellectual property
CloudKii, its software, branding, documentation and platform materials remain protected by applicable intellectual-property laws. Reseller rights do not transfer ownership of the underlying CloudKii software unless a separate written agreement expressly says otherwise.
Disclaimers
Services are provided on an "as available" basis to the extent permitted by law. We do not guarantee uninterrupted operation, compatibility with every third-party service or that every feature will remain unchanged.
Limitation of liability
To the maximum extent permitted by law, CloudKii will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities arising from use of the service.
Termination
You may cancel your subscription according to the billing controls available to you. We may suspend or terminate access for nonpayment, abuse, fraud, security risk or material violation of these Terms.
Changes
We may update these Terms as the service evolves. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.
